CHALLENGE BEGINS AT 12:00:00 AM (Pacific Time – Los Angeles Time) ON MARCH 9, 2023 AND ENDS AT 11:59:59 PM (Pacific Time – Los Angeles Time) ON APRIL 27, 2023 (THE “PROMOTION PERIOD”). At the end of the Promotion Period, the entries received will be evaluated and selected to receive prizing, the details of which are more specifically set forth below. Entry in the Challenge does not constitute entry into any other promotion, Challenge, contest, or sweepstakes. By participating in the Challenge, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Magical Threads Consulting, LLC, (“Sponsor”), which shall be final and binding in all respects.
ELIGIBILITY: Only entrants that are eighteen (18) years of age or older at the time of entry are eligible to enter. Officers, directors, and employees of Sponsor and its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Promotion Entities”), and each of their immediate family members and/or people living in the same household are not eligible to enter the Challenge or win a prize.
HOW TO ENTER:
Subscribing to the Station Little YouTube Account is a required prerequisite to be eligible to win the “STATION LITTLE MAKE THE MELODY CHALLENGE” Challenge (the “Challenge”). Basic YouTube memberships are free. No purchase necessary to enter or win. Entrants are not automatically entered into the Challenge. Only entries submitted as an audio file on the Challenge submission page will be accepted. Entrants may submit multiple entries; however, only one Entry per Entrant will be eligible to win prizing.
Except as otherwise contemplated in these Official Rules, and to the extent entrants may otherwise elect at the time of entry, personal information collected in connection with the Challenge will be considered an opt-in registration for the email marketing programs of Headliner Magazine and Station Little from which the Entrant may unsubscribe at any time without any impact on their entry or eligibility. Personal information will not be shared with any 3rd parties except those connected with the Challenge.
Sponsor shall have the right to disqualify any entries that Sponsor has determined, in its sole and exclusive opinion, fail to adhere to these Challenge Official Rules, or any other applicable terms of use, expose Sponsor to any unacceptable degree of technical, legal, or financial risks or problems, uses text and/or other components in a manner objectionable to Sponsor, or its affiliates, or is otherwise deemed inappropriate, all as determined by Sponsor in its sole discretion. Sponsor’s decisions are final and binding with respect to all matter relating to the Challenge.
Entry must be made by the entrant. Entries made by any other individual or any entity, and/or originating at any other website or email address, will be declared invalid and disqualified for this Challenge. Tampering with the entry process or the operating of the Challenge is prohibited and entries submitted in this manner, subject to Sponsor’s sole discretion, shall be void. Sponsor shall not be responsible for incorrect or inaccurate entry information or assume any liability for any error, omission, interruption, deletion, theft or destruction or unauthorized access to, or alteration of entries.
Challenge is void where prohibited by law. Entrants may reside in any country of the world.
INSTRUCTIONS FOR YOUR ENTRY
Entrants should submit an original melody that they believe would be a good fit for Station Little’s audience and songwriting style.
The requested length for your Entry should be no less than 4 bars in length and no longer than 16 bars in length. Typically Station Little choruses are 8 bars of Chorus with an 8 Bar refrain.
When in 4/4 time, the above can be further explained as follows:
- There are 4 Beats in a Measure. There are 1 Measures in a Bar.
Your entry must be an original melody of your own creation. We suggest that you submit a melody that would be used for the verse, chorus, or a combination of both. The completed entry may feature the melody through singing, humming, playing on an instrument, creating a midi file, etc. However, the format of the file must be mp3, wav, m4a, or mp4 (in other words a midi file must be converted to one of the prior files).
The Work must be in keeping with the image of The Smalls Media, LLC (dba Station Little) and Headliner (“Sponsor”) (jointly “The Parties:) and may not be inappropriate, offensive, libelous or defamatory, sexually explicit, unlawful or plagiarized, as determined by The Parties in their sole discretion; must not be harassing, abusive, threatening, harmful, vulgar, profane, obscene, excessively violent, racially, ethnically or otherwise objectionable or offensive in any way, as determined by The Parties in their sole discretion; may not violate or encourage others to violate any applicable law, statute, ordinance or regulation; may not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights, or involve physical harm to any person or animal; may not contain verbal or visual mentions of commercial/corporate advertising, including but not limited to corporate logos, brand names, and slogans, other than as contained in the assets provided to Entrants at the Challenge Site;
Only online entries will be accepted. No hard copies of the entry will be accepted for judging.
Entrants may enter multiple submissions; however, only one entry from the Entrant will be eligible for the Semi-Finalist selections. In the event that the judges like multiple entries from a single Entrant, the judges will select their favorite.
Potential winners will be selected on or about May 4, 2023, from all eligible and qualified entries. Semi-Finalists will be selected by staff at The Smalls Media, LLC on the basis of (i) Original Creative expression (ii) Overall Impact of the Work; all in whatever degree the judges believe to be appropriate in reaching a decision. The Semi-Finalists will be posted in advance of final judging. Only one entry per Entrant may be chosen as a Semi-Finalist entry. The Grand Prize winning Work using the same criteria and methodology will be selected by Jordan Omley and Louis Biancaniello. The judges’ decisions are final on all matters relating to the Challenge. In the event of a tie in any portion of the judging process, the judges themselves will resolve the tie to the appropriate number of Semi-Finalists or ranked winners as applicable.
Note: The Grand Prize First Place winning entry will be adapted for use by The Smalls Media, LLC (dba Station Little) only following the winner’s explicit permission and written signature on the contracted use of the work and detailed compensation agreement. The Grand Prize winner shall have 60 days to accept or decline the offer from The Smalls Media, LLC; at which time The Smalls Media, LLC may award the prize instead to an alternate entrant or terminate the Grand Prize.
ENTRIES MUST BE RECEIVED BY 11:59:59 PM (Pacific Time) APRIL 27, 2023. No illegible, incomplete, forged or altered entries will be accepted. Works will not be returned. Entrants may enter as many unique Works as they like however duplicate entries are not allowed.
ENTRANT’S RIGHTS:
The audio file for Works submitted will remain the exclusive property of the Entrant.
Except as expressly required in these Official Rules, Entrant may not use their Challenge entry in any manner whatsoever in connection with Station Little or Headliner intellectual property or otherwise without Sponsor’s express prior written approval.
During the Promotion Period, and for a period of one year thereafter, eligible Works submitted to the Challenge may be posted by Headliner or The Smalls Media, LLC, as marketing materials, but only in connection with promotion of this Challenge and/or with reference to the Challenge;
during the ten (10) year period immediately following the Promotion Period (the “Display Period”), the sponsors may (but will not be obligated to) share The Grand Prize winning Work in connection with the promotion of their respective businesses;
PRIZES:
There will be one Grand Prize, and ten Semi-Finalist Prize Packages consisting of the following awards:
Grand Prize Package:
- Will receive $500 USD
- The Work will be adapted to a Station Little production
- Co-Writing Credits for final adapted Work in accordance with a detailed compensation agreement to be executed by the parties.
- Shared Publishing rights/revenue for the final adapted Work in accordance with a detailed compensation agreement to be executed by the parties (The Grand Prize winner along with three Station Little songwriters will split the rights equally at a rate of 25% per person).
Total Approximate Grand Prize Retail Value $3,000 USD
Semi-Finalist Prize Package:
- Ten Semi-Finalists will each be awarded $100 USD
- The Smalls Media, LLC will have 90 days to fulfill the reward. If for any reason an Entrant is unable to accept the prize, The Smalls Media, LLC will not be obligated to select their replacement.

The ARV represents the Sponsor’s good faith determination of the actual fair market value and, as ultimately determined by Sponsor, is final and binding and cannot be challenged or appealed. In the event that a stated ARV is more than actual fair market value, the difference will not be awarded in cash or otherwise. All prizes will be awarded (assuming sufficient number of entries). The Parties reserve the right to substitute prizes of equal or greater value. No other substitution or transfer of prizes permitted. The Parties are responsible only for prize delivery; not responsible for prize utility, quality or otherwise. Taxes and fees, if any, are the sole responsibility of prize winners. Actual currency exchange rates and specific value of prizes may vary due to market conditions at the time prizes are awarded. Sponsor will not replace any lost, mutilated or damaged prizes. Actual odds of winning depend on the number of eligible entries during the Promotion Period.
VERIFICATION OF WINNERS AND DELIVERY OF PRIZES:
Potential winners will, and other potential winners may, be required to sign an affidavit of eligibility and liability release and, where permitted, a publicity release. Prize may be forfeited if affidavit or releases are not returned within 14 days after mailing to potential winner or if prize notification letter or prize is returned as undeliverable. Grand prize and Semi-Finalist place prize winners agree to The Parties’ use of their name, address, likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law.
GENERAL LIABILITY RELEASE/FORCE MAJEURE:
Acceptance of a prize constitutes winner’s permission for the Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Entrants (and any minor entrant’s parent or legal guardian) agree that the Sponsor (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Challenge or any Challenge-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Challenge, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Challenge or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Challenge, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Challenge if it determines, in its sole discretion, that the Challenge is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Challenge as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Challenge as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Challenge. If the Challenge is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
GENERAL:
This Challenge is void where prohibited or restricted by law and is subject to all applicable federal, state and local laws and regulations. This Challenge will be governed by the internal laws of the State of California, USA. Any and all legal actions or claims arising in connection with this Challenge must be brought in a court of competent jurisdiction within the State of California. Sponsors and judges are not responsible for late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due, incorrect or misdirected entries, mail or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. Sponsors and judges not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant’s email account to receive e-mail messages. Sponsors disclaims any liability for damage to any computer system resulting from participation in, or accessing, posting, uploading or downloading information in connection with, this Challenge, and reserve the right, in their sole discretion, to modify, cancel, terminate or suspend this Challenge should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsors’ reasonable control corrupt or affect the administration, security, fairness or proper conduct of the Challenge. In the event of any such cancellation, termination or suspension, a notice will be posted on the Challenge Site and the winners will be selected from among all eligible entries received prior to such time. Sponsors reserve the right, in their sole discretion, to disqualify any entrant from this Challenge or any other promotion conducted now or in the future by Sponsors or any of their affiliates if the entrant’s fraud or misconduct adversely affects the integrity of the Challenge. By participating in this Challenge, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the judges and warrants that s/he is eligible to participate in this Challenge. By accepting a prize, winner agrees to release Sponsors and their respective directors, employees, officers, and agents, including without limitation, their advertising and promotion agencies, from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of the prize or participation in any prize-related activities.
CAUTION:
ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

To obtain a copy of any legally-required winners list, send a self-addressed stamped envelope to Station Little Make the Melody Challenge Challenge Winners List, c/o Magical Threads Consulting Group, LLC 4001 Decatur Blvd, Building 37, #561 Las Vegas, NV 89101. All such requests must be received within six (6) weeks after the end of the Promotion Period. The Official Rules will be posted at https://stationlittle.magicalrealms.co/official-rules/ during the Promotion Period.
